Contract
A contract shall be deemed to have been concluded as soon as Kommazwerg has confirmed an assignment.
Quotations and prices
Kommazwerg offers the following services: proofreading with amendments, text revision, transcription, final revision, layout check, translation (in-house or outsourced), and text adaptation. The section Quotations, prices forms an integral part of these terms and conditions. Due to our turnover being below the VAT threshold, we are not subject to VAT.
Nature and extent of services provided
Unless agreed otherwise, proofreading is based on the works mentioned in the chapter Language guidelines. Corrections and suggested amendments are indicated with proofreader’s marks. If texts are supplied in electronic format and hence editable, Kommazwerg will make the amendments directly (the changes can then be traced in the revision mode of the relevant software, if they have such a function).
Return of your texts
Newly created and proofread documents are returned to you by e-mail or made available via server upload. Hardcopies with corrections and data carriers that we have received or on which new data has been stored are sent back to you by post.
Liability
Kommazwerg undertakes to perform all services with reasonable skill and care to ensure, where possible, that no mistakes remain in the text after it has been processed. If significant shortcomings remain nevertheless (awkward mistakes and errors that distort the meaning of the text), the client must notify Kommazwerg of these shortcomings in writing within seven days (from the day the document was returned). Where required, the client shall provide a copy of the corrected text as proof. If no complaint is received within the seven-day notification period, the client shall be deemed to have accepted the service. Kommazwerg’s liability is limited to wilful intent and gross negligence. Kommazwerg does not assume liability for indirect losses caused by erroneous corrections on the part of the client. Overall, Kommazwerg can be held liable only for the amount invoiced for a given assignment.
Kommazwerg is subject to confidentiality obligations. However, Kommazwerg shall not be liable, if unauthorised third parties obtain access to transmitted texts during electronic data exchange.
If the client does not meet an agreed delivery date, a new date shall be agreed between the parties. Kommazwerg reserves the right to charge extra to cover expenses incurred as a result of the delay.
Invoice
Upon completion of the job, an invoice is issued for the services provided. The invoice is payable within 30 days without any deductions. Following the first reminder sent by e-mail, a second reminder will be mailed by post after 14 days, if the client is still in default. This second reminder is subject to a surcharge of CHF 30.–. In case of outstanding payments, Kommazwerg reserves the right not to accept any more assignments until all current invoices have been paid in full.
Final provisions
Swiss law shall apply. The place of jurisdiction is Frauenfeld.
